Most small businesses you deal with, from the electrician who rewired your kitchen to the agency that built your website, trade with “Ltd” after their name. It’s easy to treat those letters as decoration. They aren’t. They decide who owns the business, who answers for its debts, how its profits are taxed and which forms land on your desk each year.
Below is the private limited company definition set out without jargon, followed by what each part of the name means and the 2026/27 rules, fees and tax that come attached. If you’re already a director, note the Companies House identity deadline of 18 November 2026, covered in Section 2.
Quick answer
In the UK, the private limited company definition describes a business incorporated at Companies House that is a legal person separate from its owners. Shareholders normally risk no more than they’ve put in, and the company is barred from selling its shares to the general public. By law its name has to finish with “Limited” or “Ltd”.
Key takeaways
- Because the company is its own legal person, contracts, bank accounts and tax bills sit in its name rather than yours.
- The word limited refers to the owners’ exposure: usually capped at any amount still unpaid on their shares.
- The word private means the public can’t buy its shares, which is what separates it from a PLC.
- Online incorporation costs £100 in 2026/27, and every director now has to prove their identity to Companies House.
- Company profits fall under Corporation Tax rather than Self Assessment, and Making Tax Digital for Income Tax doesn’t apply to the company.

Private limited company definition, explained simply
Take away the legal wording and the private limited company definition rests on three points. First, the company is a person in the eyes of the law, distinct from whoever set it up. Second, its owners’ financial risk is capped. Third, ownership is kept private, moving between people by agreement instead of on a stock exchange.
All of this comes from the Companies Act 2006. Section 4 says a company is private unless it is a public company, and further sections prevent private companies from offering shares to the public at large. The usual form is limited by shares. Some clubs and charities choose to be limited by guarantee instead, with members pledging a set amount rather than holding shares.
Ltd meaning: the two words in the name
Limited is about risk. If the company goes under owing money, creditors can pursue the company’s assets but, as a rule, not the shareholders’ houses or personal savings. Once a shareholder has paid in full for their shares, there’s normally nothing further they can be made to contribute.
Private is about who can join. Shares change hands privately, and the company’s articles of association can limit who’s allowed to own them. That level of control helps explain why private companies make up the great majority of the UK register.
What is a private limited liability company?
People who type what is private limited liability company into a search box are blending two labels, but they’re almost always after an ordinary UK private company in which the owners enjoy limited liability. The UK has no separate legal form by that name. An LLC is an American structure, and the UK’s LLP is a partnership, not a company. Whichever phrase is used, the private limited company definition people need is that of the ordinary Ltd.
Ltd, Limited, Cyf, Pvt Ltd and LLC
A UK private limited company has to finish its name with “Limited” or “Ltd”. A company whose registered office is in Wales can use “Cyfyngedig” or its short form “Cyf” instead.
“Pvt Ltd” and “Private Limited” belong to other countries, mainly India, Bangladesh and Pakistan, and searches for a private limited firm or a pvt ltd firm usually come from there. The structure is broadly similar, but it sits under a different national law, and UK companies don’t use those suffixes. Full naming rules are on GOV.UK’s limited company set-up pages.
The people inside a limited company
One of the clearest ways into the private limited company definition is to see who does what. In a one-person business, the same individual often holds every post, yet the law still treats each post as a separate role with its own responsibilities.
| Role | Responsibility | How many |
|---|---|---|
| Shareholder, also called a member | Owns the company through shares and is entitled to dividends | At least one |
| Director | Manages the business and answers for its legal filings | At least one, and one or more must be an individual aged 16 or over |
| Person with significant control (PSC) | Holds more than 25% of shares or voting rights, or controls the company another way; named on a public register | Recorded when they exist |
| Company secretary | Deals with administration for the board | Not required for a private company |
Most one-person companies have a single shareholder who is also the single director. That’s perfectly legal, but the two roles pull in different directions: the shareholder owns the profits, while the director has a legal duty to put the company’s interests first, keep accurate books and file everything on time.
What incorporating commits you to in 2026/27
Obligations are as much a part of the private limited company definition as limited liability. Several of them changed in 2024 and 2026, so advice written a couple of years ago may no longer be right.
Getting registered
Since 1 February 2026, incorporating online at Companies House costs £100, double the previous £50; a paper application is £124. You need a company name with Ltd or Limited at the end, one director and one shareholder at minimum, a SIC code describing what the business does, and articles of association, for which the standard model articles are fine.
Three further requirements arrived on 4 March 2024. New companies must supply a registered email address for Companies House to use, a registered office that counts as “appropriate” (somewhere post will reach a real person and can be signed for, so not a PO box), and a confirmation that the company is being set up for a lawful purpose. Companies House sets these out on its company law changes summary.
Identity verification for directors
The most recent duty linked to the private limited company definition is proving who you are. Anyone appointed as a director or PSC on or after 18 November 2025 has to verify their identity at appointment. Directors and PSCs already in post have a 12-month window ending on 18 November 2026, normally completed alongside their next confirmation statement. Verification runs through GOV.UK One Login or an authorised agent; our guide to Government Gateway and One Login helps if signing in is the obstacle.
Annual filings at a glance
Regular filings are the other half of the private limited company definition, and late ones are the commonest source of penalties for small companies.
| Filing | Goes to | When | Charge |
|---|---|---|---|
| Confirmation statement | Companies House | Once every 12 months or sooner, within 14 days after the review date | £50 online |
| Statutory accounts | Companies House | Within 9 months of the year end; a new company’s first set within 21 months of incorporation | Free to file; penalties from £150 to £1,500 if late |
| Company Tax Return (CT600) | HMRC | Within 12 months of the accounting period ending | Free to file |
| Corporation Tax | HMRC | Usually 9 months and a day after the accounting period ends | The tax owed |
On top of these, a new company must tell HMRC it’s liable for Corporation Tax no later than three months after it starts business. GOV.UK’s pages on running a limited company cover each obligation.
Illustrative example
Leila has been freelancing as a web developer in Bristol since 2022. In August 2026 she forms Larkspur Digital Ltd online for £100, completing her identity check through One Login as part of the application. She is the sole director and owns all 100 shares.
Her accountant’s address serves as the registered office. She notifies HMRC that the company is liable for Corporation Tax well inside three months of its first invoice and moves her client contracts across. From then on, Larkspur Digital Ltd earns the fees and owes the tax, not Leila personally. Leila and the company are fictional.
That handover captures what the private limited company definition means day to day: the business becomes a person in its own right, and its founder now wears two hats, as director and as shareholder.
Private limited company definition compared: PLC, sole trader, LLP
A definition is easier to grasp next to its neighbours. This table sets the private limited company definition beside the three structures it is most often mixed up with.
| Point of comparison | Ltd | PLC | Sole trader | LLP |
|---|---|---|---|---|
| Legal person in its own right | Yes | Yes | No: the owner and business are one | Yes |
| Owners’ exposure to debts | Capped at unpaid share capital | Capped at unpaid share capital | No cap | Capped, under the members’ agreement |
| Shares sold to the public | Not allowed | Allowed | No shares exist | No shares exist |
| Tax on profits | Corporation Tax, then personal tax on pay or dividends | Corporation Tax | Income Tax plus Class 4 NI | Income Tax on each member’s share |
| On the Companies House register | Yes | Yes | No | Yes |
PLCs face stricter rules, among them £50,000 of minimum share capital and at least two directors, so few small firms use them. Being a sole trader is the simplest route, but your personal and business debts are one and the same; our sole trader tax calculator shows what that route would cost you in tax.
Tax on a private limited company
Where the private limited company definition bites hardest is tax, because profits can be taxed in two stages: once inside the company and again when money is drawn out.
Corporation Tax on profits
In 2026/27, a company with profits of £50,000 or less pays the 19% small profits rate. Above £250,000 the 25% main rate applies, and marginal relief smooths the band in between. These thresholds are divided between associated companies. Current figures are on GOV.UK’s Corporation Tax rates page.
Paying yourself: salary versus dividends
Most owner-directors draw a combination of salary and dividends. A salary runs through PAYE and counts as a business expense. Dividends are paid from profit after Corporation Tax, and since 6 April 2026 they’ve been taxed at 10.75% within the basic-rate band and 35.75% within the higher-rate band, once the £500 dividend allowance is used. With both rates up two points, this is a good year to revisit the mix.
Your personal return as a director
Many directors still need a Self Assessment return of their own, often for dividends above the allowance or for income such as rent. See our guide to paying a Self Assessment bill for that side.
Where Making Tax Digital fits
Within the private limited company definition, the company pays tax in its own right, but Making Tax Digital for Income Tax isn’t designed for companies, so a private limited company doesn’t send quarterly Income Tax updates on its trading profit. MTD can still touch it in two ways:
- VAT. A VAT-registered company must keep digital VAT records and submit returns from compatible software; our guide to MTD for VAT explains the requirements.
- The director as an individual. A director with their own self-employed or property income above the threshold falls under MTD for Income Tax for that personal income.
There is currently no start date for MTD for Corporation Tax. We keep our limited company MTD page up to date as that changes.
Beliefs that cause trouble
Several common assumptions about the private limited company definition lead new directors astray.
“My personal money is always safe.” Lenders and landlords frequently ask directors to sign personal guarantees, and a director who carries on trading while the company can’t meet its debts may end up personally liable. Limited liability shields shareholders; it doesn’t excuse reckless directors.
“A Ltd always pays less tax.” That depends on your profit, how you take money out and the higher 2026/27 dividend rates. At lower profit levels, a sole trader can pay less once accountancy and filing costs are counted.
“I can take money from the company whenever I like.” Withdrawals that aren’t salary or dividends build up as a director’s loan, and an extra tax charge may follow if it’s still outstanding nine months after the year end.
“Identity checks are just for new companies.” Directors already in post must complete them too, by 18 November 2026.
Accountant’s view
It’s tempting to see the private limited company definition as legal small print, yet it governs ordinary choices: whose name a contract carries, how you’re paid, which dates you watch. Our advice is to model both structures before incorporating, and afterwards to treat the company account as the company’s money from the very first day. That alone avoids most director’s loan headaches.
Your questions on limited companies
What is meant by limited company?
It’s a business registered with Companies House that exists separately from the people who own it, with shareholders’ losses limited to their investment. Most UK limited companies are private and end their names with “Ltd” or “Limited”.
Can you explain private limited company basics in one paragraph?
The shareholders own it and the directors manage it, while the contracts, money and debts belong to the company itself. Owners generally risk only their share capital, and the shares can’t be sold to the public.
How would you define private limited company status legally?
Under the Companies Act 2006, any company that isn’t a public company is private. Add limited liability for shareholders plus a Ltd or Limited suffix, and you have the private limited company definition used in practice.
What is private liability company?
Almost always a slip for private limited company. UK law has no structure called a private liability company; what people mean is a Ltd.
Does private limited company meaning differ between the UK and India?
The concept is much the same, but national law differs. UK companies use Ltd or Limited, whereas companies in India and Bangladesh carry Private Limited or Pvt Ltd.
Can a private limited company have just one person?
It can. The private limited company definition doesn’t require more than one person: you may be the sole shareholder and sole director, provided you’re at least 16 and have verified your identity with Companies House.
Is a private limited company affected by Making Tax Digital?
Not for Income Tax: a company falling within the private limited company definition pays Corporation Tax instead. A VAT-registered company does have to follow MTD for VAT.
What does it cost to form a private limited company in 2026/27?
£100 to register online with Companies House, or £124 by post, then £50 a year for each online confirmation statement.
Final verdict: what the private limited company definition means for you
At heart, the private limited company definition describes a separate legal person, privately owned, whose shareholders risk only what they invest. That status brings duties: yearly filings, Corporation Tax, identity checks for directors by 18 November 2026 and, once VAT registered, MTD for VAT. Set those against the benefits before deciding to incorporate.
